Terms of Service

These Terms of Service ("Terms") govern your access to and use of Focus, the cybersecurity framework advisor operated by Red Hound Information Security LLC, a Massachusetts limited liability company ("Red Hound," "we," "us") at focus.redhound.us(the "Service"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Focus helps small and mid-sized businesses identify which cybersecurity frameworks apply to them, assess their posture against those frameworks, and prioritize remediation. The Service includes a deterministic rules engine, AI-assisted narrative interpretation, and reporting. The features available to you depend on the plan you select.

2. Eligibility and accounts

You must be at least 18 years old and authorized to bind the organization you represent to these Terms. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly at hello@redhound.us if you suspect unauthorized access.

3. Subscriptions, billing, and refunds

Paid plans renew automatically at the end of each billing period unless cancelled. You authorize us, through our payment processor Stripe, to charge your payment method for applicable fees, taxes, and any plan changes. Fees are non-refundable except where required by law. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and you retain access until then.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or infringing purpose.
  • Reverse engineer, scrape, or attempt to extract our proprietary content (questionnaires, decision rules, control mappings) for resale or competing products.
  • Submit content you do not have the right to submit, or that contains malware, exploit code, or personal data of third parties without their consent.
  • Probe, attack, or stress-test the Service or its infrastructure without our prior written consent.
  • Use the Service to provide a substantially similar compliance advisory product to third parties.

5. AI-generated output and important disclaimers

Focus uses AI to interpret your free-text answers and to generate narrative explanations of your results. The Service is informational and decision-support only. It is not legal advice, regulatory advice, audit certification, or a substitute for a qualified compliance professional, attorney, or auditor.

Framework applicability and control recommendations are based on the information you provide. Real-world compliance depends on facts that we cannot independently verify (contracts, regulator interpretations, jurisdictional nuance, controls you have implemented but not entered, etc.). You are responsible for independently validating Focus's output before acting on it, especially before representing compliance status to customers, regulators, or auditors.

6. Your content and data

You retain ownership of the data you submit ("Customer Data"). You grant Red Hound a limited, non-exclusive license to host, process, and display Customer Data solely to provide and improve the Service. We may use aggregated, de-identified data — that cannot reasonably be linked back to you — to improve our rules engine, benchmarks, and AI prompts. Our handling of personal information is described in our Privacy Policy.

7. Intellectual property

The Service, including its questionnaires, decision rules, framework-to-control mappings, code, designs, and content, is owned by Red Hound InfoSec and protected by intellectual property laws. These Terms grant you only the right to use the Service during your subscription. All other rights are reserved.

8. Confidentiality

Each party agrees to protect the other's non-public information with at least the same care it uses for its own confidential information (and never less than reasonable care), and to use it only to perform under these Terms. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON- INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ITS OUTPUT WILL BE ACCURATE, COMPLETE, OR FIT FOR YOUR PARTICULAR COMPLIANCE NEEDS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RED HOUND'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS. NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR REGULATORY FINES, EVEN IF ADVISED OF THE POSSIBILITY.

11. Indemnification

You agree to defend and indemnify Red Hound against any claim arising from (a) your use of the Service in violation of these Terms or applicable law, (b) the Customer Data you submit, or (c) your representations to third parties based on Focus output.

12. Term and termination

These Terms remain in effect while you have an account. You can terminate at any time by cancelling your subscription and deleting your account. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or if continued service poses legal or security risk to Red Hound or other users. Sections that by their nature should survive termination (including Sections 6–11) will survive.

13. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. Material changes to these Terms will be announced in the Service or by email at least 14 days before they take effect; continued use after the effective date constitutes acceptance. If you do not agree to the changes, you may cancel your subscription before they take effect.

14. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts and applicable U.S. federal law, without regard to conflict-of-laws principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Massachusetts, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

15. Miscellaneous

These Terms (together with the Privacy Policy) are the entire agreement between you and Red Hound regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
